1. Definitions

For the purposes of these Terms and Conditions:

1.1.“Africa Analysis” means Africa Analysis Team (Pty) Ltd and its subsidiaries.

1.2.“Client” means the individual or organisation that has purchased or been granted access to a Report or Syndicated Study.

1.3.“Published Report” or “Syndicated Study” means any research publication, market study, analysis, forecast, dataset, presentation, or similar output sold, licensed, or otherwise made available by Africa Analysis Team (Pty) Ltd.

1.4.“Licence” means the limited, non-exclusive, and non-transferable right granted to the Client to use the Purchased Report under these Terms and Conditions.

1.5.“Information” means all data, analysis, insights, conclusions, and recommendations contained within any Published Report.

2. Scope of Application

2.1.These Terms and Conditions apply exclusively to the purchase, access, and use of Published Reports and Syndicated Studies issued by Africa Analysis Team (Pty) Ltd.

2.2.By purchasing, downloading, or using any such report, the Client acknowledges and accepts these Terms in full.

3. Ownership and Intellectual Property Rights

3.1.All intellectual property rights in and to any Published Report remain the sole and exclusive property of Africa Analysis Team (Pty) Ltd.

3.2.No ownership of intellectual property or proprietary content is transferred to the Client under any circumstance.

3.3.The Client acquires only a limited licence to use the Report as set forth in these Terms.

4. Licence and Permitted Use

4.1.Upon purchase, Africa Analysis grants the Client a non-exclusive, non-transferable, and limited licence to use the Purchased Report solely for internal business purposes within the Client’s organisation.

4.2.Under this licence:

4.2.1.The Client may store, access, and circulate the Report internally among its employees only.

4.2.2.The Report may not be copied, republished, sold, or redistributed in any form outside of the client’s organisation.

4.3.Unless expressly authorised in writing by Africa Analysis Team (Pty) Ltd, the Client shall not:

4.3.1.Reproduce, distribute, or publish the Report, in whole or in part, outside its organisation;

4.3.2.Upload, share, or post the Report or any of its contents on public or private platforms accessible by non-employees;

4.3.3.Disclose, lend, resell, or otherwise make the Report or any part thereof available to third parties, including affiliates, partners, consultants, or contractors;

4.3.4.Use any content, tables, figures, data points, or analysis contained in the Report in any external publication, press release, investor communication, marketing material, or presentation;

4.3.5.Quote, cite, reproduce, or extract any portion of the Report—verbally, digitally, or in print— without obtaining prior written approval from Africa Analysis Team (Pty) Ltd.

4.4.Such approval must be obtained in writing before any extract, statistic, or statement is used externally. Africa Analysis reserves the right to review the intended use and require full or partial attribution or disclaimer wording to preserve context and accuracy.

4.5.Any use of the Report beyond the scope of this licence constitutes a material breach of these Terms and may result in termination of usage rights, withdrawal of access, and/or legal action.

5. Accuracy of Information

5.1.All Reports and Studies are prepared using Africa Analysis’s best professional efforts to collect, verify, and analyse data from reliable sources.

5.2.However, Africa Analysis does not warrant that the information contained in any Report is complete, accurate, or free from error.

5.3.All opinions and forecasts reflect Africa Analysis’s professional judgment at the time of publication and are subject to change without notice.

5.4.The Client acknowledges that Reports are advisory tools, not guarantees of future outcomes or substitutes for the Client’s own analysis.

6. Limitation of Liability

6.1.To the maximum extent permitted by law:

6.1.1.Africa Analysis shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the use or inability to use a Report.

6.1.2.The Client assumes full responsibility for the interpretation, application, and outcomes derived from the use of the Report.

6.2.In all cases, Africa Analysis’s total liability shall be limited to the amount paid by the Client for the Report giving rise to the claim.

7. Indemnification

7.1.The Client agrees to indemnify and hold harmless Africa Analysis, its affiliates, employees, and agents from and against any and all claims, losses, damages, or expenses (including reasonable legal fees) arising from:

7.1.1.Unauthorised use, distribution, or reproduction of any Report; or

7.1.2.Violation of any provision of these Terms and Conditions.

8. Force Majeure

8.1.Africa Analysis shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, or governmental restrictions.

9. Severability

9.1.If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

9.2.The invalid clause shall be replaced with one that best approximates the original intent.

10. Governing Law and Jurisdiction

10.1.These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.

10.2.Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the South African courts.

11. Acceptance

By purchasing, downloading, or using any Published Report or Syndicated Study, the Client acknowledges that they have read, understood, and agreed to these Report Licensing Terms and Conditions.
